1. Acceptance

By accessing su.hpsholding.com you agree to these terms. If you do not agree, please do not use the website. We may update these terms; the version published here at the time of your visit is the one that applies.

3. Use of the website

• You may view, download and print pages for your own legitimate business purposes.
• You must not attempt to gain unauthorised access to the site, its server or any connected system.

Figures quoted are historical outcomes for specific clients in specific circumstances and are not a prediction or guarantee of results for anyone else.

5. Enquiries and engagement

Submitting an enquiry does not create a contract. Services begin only when both parties sign an engagement letter setting out scope, deliverables, timelines, fees and confidentiality terms. Where an engagement letter conflicts with these terms, the engagement letter prevails for that engagement.

6. Fees and payment

Fees are agreed in writing before work begins and are quoted in US dollars, exclusive of any applicable taxes. Unless the engagement letter states otherwise, invoices are payable within 30 days of issue. Late amounts may accrue interest at 1.0% per month or the maximum rate permitted by Connecticut law, whichever is lower. Pre-approved travel and disbursements are billed at cost.

7. Client responsibilities

• Provide accurate and complete data, and reasonable access to relevant staff.
• Make timely decisions where an engagement depends on them.
• Ensure that data shared with us may lawfully be disclosed to a service provider.
• Obtain independent legal, tax and accounting advice on matters requiring it.

Delays or inaccuracies in client-supplied information may affect timelines and outcomes, and may require a written change to scope and fees.

8. Intellectual property

All content on this website — text, layout, graphics, logo and code — is owned by HPS Holding LLC or its licensors and is protected by United States and international copyright law. Methodologies, templates and tools developed by us remain our property. Deliverables prepared specifically for a client become that client’s property on payment in full, with a perpetual licence back to us for our underlying know-how.

9. Confidentiality

We treat client information as confidential and disclose it only as permitted by the engagement letter or required by law. We ask the same of clients regarding our proprietary materials. Case studies are published only in anonymised form and only with prior written approval.

10. Disclaimer of warranties

The website is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, error-free or free of harmful components.

11. Limitation of liability

To the fullest extent permitted by Connecticut law, HPS Holding LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising from use of this website. Our total aggregate liability arising from use of the website will not exceed one hundred US dollars ($100). Liability arising from professional services is governed by the applicable engagement letter. Nothing in these terms excludes liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify HPS Holding LLC against claims, losses and reasonable legal costs arising from your misuse of this website or your breach of these terms.

13. Third-party links

Links to third-party websites are provided for convenience. We do not control and are not responsible for their content, availability or practices, and a link is not an endorsement.

14. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, war, civil unrest, epidemic, labour dispute, utility or carrier failure, or government action.

15. Governing law and disputes

These terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. The parties will attempt in good faith to resolve any dispute through direct discussion for 30 days. Failing that, the state and federal courts located in Hartford County, Connecticut have exclusive jurisdiction, and both parties consent to venue there.

16. Severability and entire agreement

If any provision is held unenforceable, the remainder continues in effect. These terms, together with our Privacy Policy, Cookie Policy and any applicable engagement letter, constitute the entire agreement regarding your use of this website.
